Acceptance of Terms

By installing or using the Dropship Pulse Shopify application (“App”), operated by VertexFlow Oü (“we”, “our”, or “us”), you agree to be bound by these Terms of Service. If you do not agree, do not install or use the App.

Description of Services

Dropship Pulse is a free Shopify Admin application that provides carrier intelligence and shipping performance analysis for merchants. The App:

• Reads your Shopify order, fulfillment, and product data via the Shopify Admin API
• Identifies carriers from tracking number patterns and carrier names
• Calculates a Dropship Score (A/B/C/F) based on fulfillment speed, refund rate, and carrier performance
• Aggregates anonymized carrier benchmarks across merchants for comparison
• Displays shipping analytics and carrier intelligence in your Shopify Admin dashboard

What the App does NOT do: The App does not process payments, facilitate transactions, charge fees, handle funds, or provide financial services of any kind. It is a read-only analytics tool.

Pricing

The App is free to install and use. There are no subscription fees, transaction fees, or hidden costs. We do not collect payment information.

Data Access & Permissions

When you install the App, you grant us read-only access to specific Shopify data via OAuth scopes. The access scopes we request are:

• read_orders — Order data for fulfillment and refund analysis
• read_all_orders — Full order history for accurate long-term scoring
• read_fulfillments — Fulfillment data for carrier tracking
• read_third_party_fulfillment_orders — Third-party dropshipping fulfillment data
• read_products — Product catalog data for identification

All access is read-only. We never modify, create, or delete data in your Shopify store. You may revoke access at any time by uninstalling the App.

User Responsibilities

As a user of the App, you agree to:

• Maintain an active Shopify store in good standing
• Not attempt to reverse-engineer, decompile, or interfere with the App's operation
• Not use the App for any unlawful purpose
• Comply with all applicable laws and regulations in your jurisdiction

Intellectual Property

All content, software, trademarks, and intellectual property associated with the App are owned by VertexFlow Oü or its licensors. The Dropship Score methodology, carrier identification algorithms, and benchmark aggregation logic are proprietary. You may not reproduce, distribute, or create derivative works without our prior written consent.

Carrier Benchmarks & Data Network

The App computes carrier benchmarks from anonymized, aggregated data across all merchants. Your individual store data, order details, and shipping performance are never shared with or visible to other merchants. Only statistical aggregates (averages, percentiles) derived from multiple merchants are used for benchmarking.

Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that:

• The App will be uninterrupted, error-free, or fully available at all times
• Carrier identification will be 100% accurate for all tracking numbers
• Dropship Scores or benchmarks will be suitable for any particular business decision
• Third-party tracking services (e.g., 17TRACK) will always return accurate data

Limitation of Liability

To the maximum extent permitted by law, VertexFlow Oü shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. Since the App is provided free of charge, our total liability to you shall not exceed the amount you paid for the App, which is zero (EUR 0).

Indemnification

You agree to indemnify and hold harmless VertexFlow Oü, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the App or violation of these terms.

Termination

You may terminate this agreement at any time by uninstalling the App from your Shopify store. Upon uninstallation:

• Your OAuth access token is immediately revoked
• We stop receiving Shopify webhooks for your store
• Your merchant data, order metadata, and fulfillment metadata are deleted within 48 hours
• Anonymized carrier benchmarks aggregated from your data are retained (they cannot be traced back to you)

We reserve the right to discontinue the App or terminate your access at any time, with or without cause, upon notice.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via the App or by email. Your continued use of the App after modifications constitutes acceptance of the updated terms.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Estonia and the European Union. Any disputes shall be resolved in the courts of Tallinn, Estonia.
